These Terms of Service (“Terms”) govern your access to and use of the website martvill.in (the “Site”) operated by Martvill Innovation Private Limited (“Martvill”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 2013, with CIN U63999UP2023PTC188589 and registered office at H-120, Sector 63, Noida, Gautam Buddha Nagar, Uttar Pradesh 201301, India.

By accessing the Site, submitting a contact form, using our chatbot, or engaging us for services, you agree to these Terms. If you do not agree, please do not use the Site or our services.

1. Website use

The Site provides general information about our company, services, process and thought leadership. Content is for informational purposes only and does not constitute a binding offer, legal advice, or a guarantee of results.

You agree not to:

• Use the Site for any unlawful purpose or in violation of applicable Indian or international law
• Attempt unauthorized access to the Site, admin areas, APIs, storage, or related systems
• Interfere with or disrupt the Site, servers, or networks connected to the Site
• Scrape, crawl, or harvest data in bulk without our prior written consent (except standard search-engine indexing)
• Upload or transmit malware, spam, or harmful code
• Misrepresent your identity or affiliation when contacting us

We may suspend or restrict access if we reasonably believe these rules are being violated.

2. Services and contracts

Custom software development, mobile apps, web applications, cloud and DevOps work, IT consulting and related services are governed by a separate proposal, statement of work (SOW), master services agreement, or other written contract between you and Martvill.

Fees, payment schedules, timelines, acceptance criteria, intellectual property ownership, warranties, and liability for paid work are defined only in those documents. Nothing on this Site creates a binding commercial obligation until a written agreement is executed by authorised representatives of both parties.

Estimates shared in discovery calls or informal correspondence are indicative only and may change after detailed scoping.

3. Inquiries, chatbot and communications

When you submit the contact form, chat with our website assistant, or email us, you provide information that we process as described in our Privacy Policy and Refund & Cancellation Policy. You confirm that the information you provide is accurate to the best of your knowledge and that you have authority to contact us on behalf of your organisation if you are writing in a business capacity.

Our chatbot is an automated assistant. It may not understand every question and is not a substitute for a written proposal or contract. For commercial decisions, rely on human confirmation from our team.

4. Intellectual property

Site content: Design, text, graphics, logos, code samples on the Site, and branding of Martvill Innovation are owned by Martvill Innovation Private Limited or its licensors. You may not copy, modify, distribute, or create derivative works from Site content for commercial use without prior written permission, except for reasonable personal or internal evaluation use with attribution.

Client project IP: Ownership of source code, designs, documentation and other deliverables created under a paid engagement is governed by the applicable contract. Our standard position is that, upon full payment of agreed fees, the client receives ownership of custom deliverables created specifically for that engagement, subject to any third-party open-source licences and tools we use that remain under their own terms. We retain the right to reuse general know-how, non-client-specific frameworks, and methodologies.

5. Third-party links and tools

The Site may link to third-party websites, social profiles, or tools (for example analytics, advertising, or communication providers). We are not responsible for the content, policies, or practices of third parties. Your use of those services is subject to their own terms and privacy policies.

6. Disclaimer of warranties

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement regarding the Site. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

For paid services, any warranties are solely those expressly stated in the signed contract.

7. Limitation of liability

To the extent permitted by law, Martvill Innovation Private Limited and its directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, goodwill or business opportunity, arising from your use of the Site or inability to use it.

Our total liability arising from Site use shall not exceed INR 5,000 (or the equivalent in another currency). For paid services, liability is limited as specified in the applicable contract and is typically capped at fees paid under that engagement for the relevant period.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be limited under Indian law.

8. Indemnity

You agree to indemnify and hold harmless Martvill from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Site, your breach of these Terms, or your violation of any third-party rights in connection with Site use.

9. Privacy

Personal data is handled in accordance with our Privacy Policy and applicable law, including the Digital Personal Data Protection Act, 2023 where it applies. By using the Site you acknowledge that policy.

10. Changes to the Site and Terms

We may update the Site and these Terms from time to time. The “Last updated” date at the top will change when we revise this page. Continued use of the Site after changes constitutes acceptance of the updated Terms. Material changes to commercial service terms will be handled through contract amendments, not solely via this page.

11. Governing law and disputes

These Terms are governed by the laws of India. Subject to mandatory consumer protections (if any) that cannot be waived, courts at Gautam Buddha Nagar / Noida, Uttar Pradesh shall have exclusive jurisdiction over disputes arising from these Terms or use of the Site.
